This page explains the BeWell Catalyst Platform Agreement in plain terms, so you can see what you are agreeing to before you subscribe. It is a summary, not the contract. The full Platform Agreement sets out the binding terms, and where anything here differs from it, the full agreement applies.
Who this is for
The Platform Agreement is the contract between BeWell IT and the teachers and organisations who run their own programmes on the BeWell Catalyst platform (the Teacher Tier). If you use one of our apps as a participant, the terms that apply to you are our Terms of Service, not this agreement.
What you get
A subscription gives you the tools to build and deliver your own wellbeing programmes: course and programme management, participant engagement features such as mood tracking and journalling, engagement analytics, your own branding within the app, an optional AI course assistant trained on your own content, distribution through our mobile apps, and onboarding support to help you get set up.
Your content stays yours
You keep ownership of everything you create or upload. You give us a limited licence to host, display, and distribute your content only so that we can run the platform for you and your participants, and that licence ends when your subscription ends. We do not use your content to train AI models.
Who is responsible for the data
When your participants use your programmes, you are the data controller and BeWell IT is the data processor acting on your instructions. That relationship is governed by our Data Processing Agreement. We set out how we protect personal data, where it is hosted, and how international transfers work on our data protection page.
The AI course assistant
If you switch on the optional Course Chatbot, it answers your participants' questions using your course content, and you stay in control of what goes into it. The full position on AI, including the lawful basis for each feature, is set out in the Data Processing Agreement.
Billing, renewal, and cancellation
Subscriptions are billed monthly or annually in advance and renew automatically. You can cancel at any time; cancellation takes effect at the end of your current billing period, and you keep access until then. If we make a change that is materially detrimental to you, you can end your subscription before it takes effect, and we will refund the unused portion of any prepaid fees. We give at least 60 days' notice of changes to tiers or pricing.
Our commitments, and the limits
We provide the platform with reasonable skill and care. As with most software agreements, our liability is limited, with a higher limit for claims involving a personal data breach. We also carry £250,000 of cyber liability insurance. Some liabilities are never limited, including liability for death or personal injury caused by negligence, or for fraud. The exact limits are set out in Section 11 of the full agreement.
Confidentiality
Confidentiality runs both ways. We each protect the confidential information the other shares, such as your programme design and our platform information.
Ending the agreement
Either of us can end the agreement in the circumstances set out in the full terms, with notice and, where applicable, a pro-rata refund. When your subscription ends, we keep your data for a short period so you can export it, then delete it, as described in the Data Processing Agreement.
